User-to-User Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (the "Agreement") is a standard agreement provided by SellX ("the Platform") for use between users who are either disclosing content ("Disclosing Party" or "Seller") and users who are receiving content ("Receiving Party" or "Buyer").

IMPORTANT: This is a legal agreement between users of the Platform. SellX is NOT a party to this Agreement. We provide this agreement as a tool to help protect our users. By engaging in a transaction on the Platform, you, as a user, agree to the terms of this Agreement with the other user in your transaction.

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" shall include all digital media ("Content"), messages, user identities (@usernames), transaction details, and any other non-public information exchanged through the Service. The Platform does not review, curate, or take responsibility for the nature of the Confidential Information exchanged between users.

2. Purpose

The Receiving Party (the "Buyer") is being granted access to Confidential Information (the "Content") for the sole purpose of personal, non-commercial viewing. The Disclosing Party (the "Seller") is sharing this information under the strict condition of non-disclosure by the Receiving Party.

3. Non-Disclosure Obligation

The Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party. The Receiving Party shall not, without prior written approval of the Disclosing Party, use for their own benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of the Disclosing Party, any Confidential Information.

4. **Prohibition of Distribution and Re-Sale**

This is a critical term of this Agreement. The Receiving Party (Buyer) is expressly prohibited from:

• Sharing, sending, or transmitting the Content to any third party in any form.
• Posting, uploading, or displaying the Content on any other website, social media platform, or public forum.
• Re-selling or attempting to re-sell the Content.
• Creating derivative works from the Content.

5. Enforcement and Breach

A breach of this user-to-user Agreement is also a direct violation of the SellX Terms of Service. In the event of a breach, the following actions may occur:

• The Platform, at its discretion, may terminate the breaching party's account and ban them from the Service for violating the Terms of Service.
• Any funds in the breaching party's account may be forfeited as per the Terms of Service.
• The non-breaching party (the "Injured Party") has the right to pursue legal action directly against the breaching party.
• To assist a user in a dispute, the platform may provide transaction data and watermark information as outlined in our Terms of Service and Privacy Policy. The Platform assumes no liability for the outcome of such proceedings.
• The Injured Party is entitled to seek injunctive relief to prevent further disclosure and to pursue legal action for any and all damages.

The unique forensic watermark embedded in Content is a tool designed to identify the original recipient of the Content and can be used by the Disclosing Party as evidence in a dispute.

6. Term

The confidentiality obligations of this Agreement between users shall remain in effect indefinitely and survive the termination of any user's account on the Service.

7. Governing Law

This Agreement is a contract between the Disclosing Party and the Receiving Party. Any legal action related to this Agreement shall be governed and construed in accordance with the laws of the jurisdiction in which the Injured Party chooses to file a complaint.

By engaging in a transaction on this platform, you acknowledge that you have read, understood, and voluntarily agree to be legally bound by this User-to-User Non-Disclosure Agreement in your dealings with other users.
